However, the ambition of the deal is now clashing with the rigid reality of international law and risk management.

At the heart of the deadlock is a fundamental discrepancy between the two nations' regulatory frameworks. In Japan, the legal structure dictates that the operators of nuclear facilities bear the full brunt of responsibility for any accidents. Conversely, the United States utilizes a shared-liability model, where financial burdens are distributed among various stakeholders, including the facility owners and other related entities. Japanese officials are deeply concerned that without explicit, legally binding protections, their financing institutions could be held liable for catastrophic damages in the event of a nuclear meltdown on American soil.

While U.S. Commerce Secretary Lutnick has reportedly provided verbal assurances that Japan would be exempt from such liabilities, these promises have yet to be codified into formal legal statutes. According to sources close to the negotiations, the lack of a written guarantee has left Japanese legal experts unsettled. From their perspective, verbal commitments are insufficient to shield investors from the potentially infinite financial ruin associated with a nuclear disaster. This legal ambiguity has been exacerbated by a lack of enthusiasm from Japanese industrial conglomerates, many of whom have reportedly refused to take a leading role in the projects proposed by the U.S. side.

The U.S. Department of Commerce has attempted to downplay these fears, asserting that because Japan is acting primarily as a financier rather than an operator, there is no logical path to liability. The Department has emphasized that the plants will be situated on U.S. territory and will ultimately be owned by the American government, thereby insulating the Japanese partners from operational risks. Despite these clarifications, the Japanese delegation maintains that the current legal language does not explicitly exclude them from liability, creating a persistent barrier to the disbursement of funds.

Amidst this friction, the Trump administration is concurrently pursuing a more aggressive and unconventional nuclear strategy. In a recent move on July 22, the administration unveiled a framework to develop offshore nuclear reactors. This initiative involves a memorandum of understanding between the Nuclear Regulatory Commission and the Bureau of Ocean Energy Management, aimed at deploying reactors on the Outer Continental Shelf under federal jurisdiction. This move is part of a broader ambition to triple the nation's nuclear energy output by 2050, driven largely by the exponential increase in electricity demand from massive data centers powering artificial intelligence.

This pivot toward maritime nuclear power has not been without controversy. Environmental advocates have voiced strenuous opposition, arguing that installing nuclear reactors on decommissioned oil rigs is an ecological gamble that could lead to irreparable marine damage. While other global powers—including China, Canada, and South Korea—are exploring SMR technology for maritime use, Russia remains the only nation to have already operationalized such facilities. As the U.S. pushes forward with its energy goals, the unresolved liability disputes with Japan highlight the fragile balance between urgent energy needs and the stringent requirements of international legal security.
